
Terms and Conditions
These Terms and Conditions apply to all consulting, advisory, training and related services provided by Resolve Consulting (“Resolve”, “we”, “our”, “us”). By engaging Resolve, you agree to be bound by these Terms and Conditions.
1. Scope of Services
Resolve provides governance, leadership and financial consulting, training and advisory services to not-for-profit, faith-based and education organisations. The scope of services will be agreed in writing prior to commencement and may be delivered as one-off engagements or over an ongoing period.
2. Fees and Expenses
Professional Fees
Resolve’s professional fees will be agreed prior to commencement of services unless otherwise specified.
Reimbursements and Other Charges

Travel by car will be reimbursed at the ATO rate of $0.88 per kilometre excluding GST.

Out-of-pocket expenses incurred on your behalf will be charged at actual cost plus GST.
3. Goods and Services Tax (GST)
All fees and expenses quoted by Resolve exclude GST unless expressly stated otherwise. GST will be charged at the applicable rate, currently 10%, in accordance with Australian tax law. If the GST rate changes, fees and expenses will vary accordingly.
4. Invoicing and Payment Arrangements
Resolve may, at its discretion:

Issue invoices progressively during the engagement and/or upon completion of work

Require payment of fees or expenses in advance

Request security to cover payment of fees and expenses, including costs incurred by third parties engaged on your behalf
Payment terms will be specified on each invoice and must be complied with within the stated timeframe.
5. Instructions and Authority
Unless notified otherwise in writing:

Where there is more than one client, Resolve may accept instructions from any one of you

Where the client is a company or organisation, Resolve may accept instructions from any person who reasonably appears to have authority to provide instructions on the organisation’s behalf
Resolve is not responsible for internal disputes regarding authority or decision-making within the client organisation.
6. Confidentiality and Privacy
Resolve is bound by the APES 110 Code of Ethics for Professional Accountants, which requires strict confidentiality of client information.

All client information is treated as confidential and will not be disclosed to unauthorised third parties

Personal information is handled in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth)

Digital correspondence and records are managed securely and, where appropriate, encrypted

7. Intellectual Property
Unless otherwise agreed in writing:

All intellectual property developed by Resolve in the course of providing services remains the property of Resolve

Clients are granted a non-exclusive licence to use materials provided for internal organisational purposes only

Materials may not be reproduced, distributed or used externally without prior written consent
8. Limitation of Liability
Resolve will perform services with due care, skill and diligence. However:

Resolve does not guarantee specific outcomes

Advice is provided based on information supplied by the client and applicable regulatory frameworks at the time

To the extent permitted by law, Resolve’s liability is limited to the re-performance of services or the cost of re-performing the services
9. Termination
Client Termination
You may terminate the engagement in writing at any time. You must pay Resolve’s fees and expenses incurred up to the date of termination.
Resolve Termination
Resolve may terminate the engagement if:

Accounts are not paid within a reasonable time

Adequate instructions are not provided within a reasonable time after being requested
-
You indicate you do not wish to proceed with the engagement
10. Suspension of Services
Resolve reserves the right to suspend services if payment obligations are not met or if continued provision of services would breach professional, ethical or legal obligations.
11. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the courts of that state.
12. Amendments
Resolve may update these Terms and Conditions from time to time. The most current version will be available on the Resolve website and will apply to all new engagements.
